Dear Retailers and Collectors,

On September 20th 2005, William Britain was acquired by First Gear Inc. of Peosta, Iowa. During the decade of ownership by First Gear, the 123 year old brand has developed some of the best products the company has ever offered maintaining its place as a leader in the industry.

On February 5th of 2016, William Britain was sold to a new U.S. based company, The Good Soldier L.L.C. of Holland, Ohio. The Good Soldier L.L.C is owned by a small group of investors including John Lord Booth II, Scott & Holly Walter, Dave Youngquist and Kenneth & Ericka Osen. Each of the owners shares a passion for both history and miniatures with a mission to continue growing the W. Britain brand and W. Britain Collector’s Club with a refocused energy and additional product offerings.

Certainly any change in ownership of W. Britain will generate a number of questions on the future of the brand and its products. The good news here is that any improvements you may have noticed during the past two years will continue without interruption. The current General Manager & Creative Director, Kenneth Osen will remain in that position as one of the owners, new dedicated staff members will be added and the current creative team will remain completely intact. Ken has been part of the W. Britain team since 2005 and will insure continuity of important ranges and quality.

In addition, the art of Don Troiani will continue to be serviced by W. Britain with expanded offerings and products, including limited edition sets based on Mr. Troiani’s art. The first three sets will appear in the Spring catalog, followed by others in 2016.
Hudson & Allen Studio’s range of scenic accessories and buildings established in 1991 and owned by Ken and Ericka Osen will also become a Good Soldier L.L.C. brand. We feel these three brands perfectly support each other in every way.

By March 1st, 2016, the entire operation will be moved to our new facility in Ohio, however during this time business continues from the First Gear location in Peosta, Iowa and we will continue to take and ship orders.

The very capable Jennifer Recker will be your contact person during this transition at her direct line: 1-563-690-1258. The staff at First Gear Inc. will work closely with us to minimize any inconvenience.

The website is being updated and will be fully operational as a separate site within days of the change of ownership.

Congratulations. I look forward to the current planned and future releases and to continue being inspired by what W Britain's produce and new figures in the ranges I collect and perhaps exciting new ranges, ones I may wish to collect in the future.

We are very excited about this opportunity and will continue to work hard bringing new products to market while being thoughtful about our roots.

Although I wish them luck, when a company is divested frequently, that's not necessarily a positive development. That's a signal that the owners do not believe that they can continue to increase their return on investment and that their money can be profitably invested in other lines of business.
 
That may be so Brad but I think Britains is in very capable hands.I know Dave Youngquist is a talented painter and I know Ken and Erika are very dedicated to the toy soldier hobby.The other investors must think this is a worthwhile endeavor. Lets not think the glass is half empty.When you think of toy soldier you think William Britain.

I agree with you Mark (except for the glass being half empty; I can't say if that's the case or not). I've been involved for a good part of my professional life in negotiating transactions, including divestitures, but hope I'm wrong on this one.
 
I understand you have expertise in business transactions so I don't take your opinion lightly but I think we both agree that we hope your wrong in this case.

Ken Olsen has been managing WB for the last several yrs. I don't think he would have put together a business partnership to purchase the WB TS line if the outlook was not profitable. I put my trust in someone within the company as opposed to someone on the outside looking in.

I agree! The employee buy out is entirely different than a sale to a third party. Especially a buy out by the person running the company.

They were bought by ERTL, and eventually, were shut down.

I agree that multiple changes in ownership can be a red flag. Hopefully, in this case, with the people who are involved, the company will thrive.

Structuring a transaction of this type can be done in many ways so I don't think it's necessary or worthwhile to speculate on the form. Let's just wish them luck in this business environment.

Brad, I know you must have a lot of knowledge in your day to day job but I see no reason why to even put this statement out there unless you are speaking on Ken's and Ericka's behalf??? doesn't make any sense to post speculation on a deal that sounds like all parties involved are very excited about...Sammy
 
Matchbox has been divested far more often than W. Britains and they are still making models today!
 
Good luck wishes to all involved. W Britain has been around for a very long time and passed through many hands, some good, some terrible. This is just another part of the journey for this venerable brand.

If anyone is good for the brand and its fan base of collectors (and I include myself in there) then Ken Osen is. His enthusiasm is boundless and lets be honest, he knows his way around this hobby and has a tremendous wife by his side.

What would you prefer, people like Erika, Ken and Dave involved or just someone who has invested for a strong ROI..... I know which I would prefer. (I have worked for the later and it is never good for the brand).
